Dewey to consider bankruptcy filing: source

NEW YORK (Reuters) – Ailing law firm Dewey & LeBoeuf is considering a bankruptcy filing as new debtholders take a more aggressive track, shifting away from earlier attempts at an out-of-court liquidation, a person familiar with the matter said on Friday.

The majority of Dewey‘s partners have quit as a result of concerns about compensation, and $225 million in bank loans and bond debt.

Buyers of distressed debt who have acquired Dewey’s debt at a discount on the secondary market are more open to seeing the firm wound down in bankruptcy court rather than out of it, said the person, who requested anonymity because the information was not public.

With the emergence of new creditors, Dewey on Tuesday replaced restructuring adviser Development Specialists Inc. (DSI) with competitor Zolfo Cooper. Joff Mitchell, a senior managing director at Zolfo, is now Dewey’s chief restructuring officer, two people familiar with the situation said.

Bill Brandt, chief executive of DSI, confirmed that his firm’s involvement in the matter was coming to an end.

“Our firm is transitioning out,” Brandt said. “We’ve been replaced by Zolfo at the insistence of the debt holders. It now becomes a creditor-driven case.”

A bankruptcy filing is not certain, and the timing of any potential filing remains unclear. The firm has been consulting with restructuring lawyers since April at the latest, and has retained bankruptcy attorney Albert Togut of law firm Togut Segal & Segal.

Neither Stephen Horvath III, Dewey’s executive partner, nor Janis Meyer, its general counsel, responded to requests for comment. Mitchell and a spokesperson for Zolfo also did not respond to requests for comment.

Togut did not respond to a request for comment on Friday.

A spokesman for the firm’s primary bank lender, JPMorgan Chase & Co, declined to comment late on Friday.

Once one of the largest law firms in the United States, Dewey & LeBoeuf has lost all but a handful of the 300 partners with which it opened 2012. It has laid off 433 of 533 employees in New York, according to the New York State Labor Department.

Dewey’s debtholders have been selling their stakes during the firm’s downfall. As of May 3, bankruptcy analyst Kevin Starke of CRT Capital Group said Dewey’s $150 million in notes privately placed following a 2010 bond offering were trading at between 45 cents and 55 cents on the dollar on the secondary market.

The shift toward a possible bankruptcy filing would be a major change in direction. As recently as March 12, Martin Bienenstock, formerly a top bankruptcy partner at Dewey and an outgoing member of the firm’s office of the chairman, told the Wall Street Journal that the firm had “no plan to file a Chapter 11 bankruptcy.”

“We’ve had a completely non-adversarial relationship with our lenders, and right now the cash we’re using is the lender’s collateral,” he said at the time.

Bienenstock did not respond to a request for comment late on Friday. He was one of four members of Dewey’s top management team, the office of the chairman, to decamp to other firms in recent days, joining Proskauer Rose. The last member of that office, Washington, D.C., lobbyist L. Charles Landgraf, said he had joined Arnold & Porter on Wednesday.

Lawsuits are mounting against Dewey. The U.S. Pension Benefit Guaranty Corporation sued the firm Monday in Manhattan federal district court in order to take control of three of the firm’s pension plans, which the agency said were underfunded by $80 million.

Bankruptcies are often driven by creditors. On Wednesday, Annette Jarvis of Dorsey & Whitney, a bankruptcy lawyer who represents a group of 51 retired pension partners at Dewey predecessor LeBoeuf Lamb Greene & MacRae, said that in her view the firm “has to be put into a bankruptcy.”

Jarvis did not respond to a request for comment on Friday.

Nuts From the Family Tree: Uncle Delbert: The Boys Go To War

Was talking to Uncle Delbert yesterday about going off to WWII. What was the mood, I asked? Looking at the photos taken before the boys in his family went off to war, they show a group of people smiling (perhaps bravely) hugging each other for dear life, together and not knowing what the future held. Here’s what Uncle Delbert said about that.

He framed the mood: he was born in 1920 and grew up mostly in the Great Depression. His Dad, my Grandfather, was a coal miner. Dad, he said, came home from the mines with his week’s pay of a 50-cent piece. That was it. Groceries were bought on credit at the store a couple of houses away and each week the tab would be paid off. His?Dad made extra income by cutting the other miner’s hair in a tiny barbershop in back of the house for 25 cents a cut. His Dad, I know, had learned to cut hair from his father-in-law, Gus Zeller, the notorious barber (and Drinking Man) often mentioned here. They really “lived on that extra income” he said.

Uncle Delbert described home life with six kids as fun, and happy with a solid sense of home justice which kept the boys in check. They never thought of themselves as being “poor” even though times were tight. (Mom has said almost the exact same thing of her home life growing up.)?It’s a wonderful thing that none of the three boys ended up in trouble with the law, he mused. They could be full of bedevilment, I know, from the storied my Dad told about growing up with three rascal brothers! Boys will be boys.

He had never been out of Frostburg when the attack at Pearl Harbor took place changing all of their lives. He was called up for duty, passed the physical and off he went on possibly the adventure of his life. His brother Bernie went too. Dad was called up, as I’ve mentioned here, but couldn’t pass the physical due to severe burns to both hands when he was but two years old. Instead, he served by working in Allegany Ballistics Laboratory nearby. The brothers wrote as often as they could. The war years passed and fortunately they were all reunited after the war.

Uncle Delbert has told me three stories so far about his service years and I hope that there will be more to come. The next to come will be about him meeting up with his brother on VE Day. It brought a tear to my eye.

Diabetes Can Take a Toll on Your Emotions

THURSDAY, May 17 (HealthDay News) — Many people know diabetes — both type 1 and type 2 — can take a serious toll on physical health. But these blood-sugar disorders also can affect your emotions and, in turn, your emotions can wreak havoc on your diabetes control.

Extremes in blood-sugar levels can cause significant mood changes, and new research suggests that frequent changes in blood-sugar levels (called glycemic variability) also can affect mood and quality of life for those with diabetes.

Depression has long been linked to diabetes, especially type 2. It’s still not clear, however, whether depression somehow triggers diabetes or if having diabetes leads to being depressed.

More recent research in people with type 1 diabetes has found that long periods of high blood-sugar levels can trigger the production of a hormone linked to the development of depression.

People with type 1 diabetes no longer can make their own insulin; people with type 2 diabetes need insulin treatment because their bodies can no longer produce it in sufficient quantities.

“Diabetes gives you so much to worry about that it’s exhausting. It can make you feel powerless,” said Joe Solowiejczyk, a certified diabetes educator and a manager of diabetes counseling and training at the Johnson & Johnson Diabetes Institute in Milpitas, Calif. “I think it’s important to acknowledge that, from time to time, you’re going to have a meltdown. You’re going to have days when you feel exasperated, frustrated, sad, in denial and physically exhausted.”

Solowiejczyk, who has type 1 diabetes himself, said these feelings become a problem “when you’re not able to get on with your life, and you’re persistently not taking care of your diabetes.”

Not only does diabetes increase the risk of serious health complications, but uncontrolled diabetes also may worsen depression, causing a vicious cycle.

In addition to an increased risk of depression, diabetes can affect mood even from minute to minute. For example, someone who experiences low blood sugar may suddenly become irritable, even combative, and may act as if they are drunk, slurring their words.

Low blood-sugar levels (also known as hypoglycemia) occur when someone has taken too much insulin or hasn’t eaten enough food. Exercise, alcohol and many other factors can lower blood-sugar levels unpredictably.

The problem, Solowiejczyk said, is “that the brain operates totally on glucose. When you don’t have enough glucose, things start breaking down and your cognitive function doesn’t work that well. This is a physiological, not an emotional, response.”

Dr. Vivian Fonseca, president of medicine and science for the American Diabetes Association, said, “Hypoglycemia reactions are very understandable. There are also some fluctuations that are not quite in the hypoglycemia range that may affect anxiety levels.”

High blood-sugar levels (hyperglycemia) also can lead to mood changes. “Hyperglycemia can affect your ability to concentrate and can make you feel grouchy,” Solowiejczyk said. “Any change in the blood sugar outside of the normal ranges makes you feel weird and uncomfortable.”

A small study in the April issue of the journal Diabetes Technology & Therapeutics found that frequent fluctuations in blood-sugar levels in women with type 2 diabetes were associated with a lower quality of life and negative moods.

Fonseca said, however, it’s important for these findings to be replicated in a larger population.

Although diabetes and blood-sugar levels can affect emotions, emotions also can affect patients’ blood-sugar levels and diabetes control.

In another study in the same journal issue, researchers tested blood-sugar levels in non-diabetic bungee jumpers, and found that the stress of the jump caused their blood-sugar levels to rise significantly. Not surprisingly, their stress hormones also were higher due to the body’s normal fight-or-flight response. When this happens, the liver releases glucose to make energy available to the body’s cells, according to the American Diabetes Association.

People with diabetes don’t have sufficient insulin to let that glucose into the body’s cells, however, so instead of providing energy, the sugar just builds up in the blood.

Another emotional minefield often associated with type 2 diabetes is the concept of blame. Most people with type 2 diabetes are overweight, and many are sedentary. Being overweight alone, however, doesn’t cause type 2 diabetes. There are other factors, such as a genetic predisposition, at play. But because exercise and losing weight can help prevent — or, in some cases, reverse — type 2 diabetes, society often blames people with the disease. (Type 1 diabetes is an autoimmune disease that is not caused by diet or lack of exercise.)

“I think there is a prejudice against overweight people and people with type 2 diabetes, and that’s something they have to deal with,” Solowiejczyk noted.

What’s important, he said, is that if you’re persistently having trouble dealing with any of the emotions that come with diabetes, you talk with your doctor, diabetes educator or therapist.

“You should be feeling bad or resentful or angry sometimes,” he said. “Diabetes is hard, and all of those feelings come along with the disease. But if you’re [irritable] and angry or if you’re sad all the time, you’re not going to take care of yourself.”

The same advice is true for partners of people with diabetes and parents of children with diabetes, he said.

Wall St Week Ahead: The market is oversold, but major signs say “sell”

NEW YORK (Reuters) – Normally a big decline would set up Wall Street for a technical rebound. But that may not be the case next week, even after the market posted its worst weekly loss for the year and the S&P fell for six straight sessions.

With the corporate earnings season drawing to an end and recent U.S. economic data raising doubts about the pace of growth, the S&P 500, which is down 7.3 percent so far in May, could decline further next week as concerns about the financial health of Europe persist.

“What has changed in the world since April? We went from hearing a constant refrain that the world is awash in money and markets must go higher to hearing nobody wants to take any risk. … All in a week,” said Peter Cecchini, global head of institutional equity derivatives at Cantor Fitzgerald & Co in New York.

The S&P 500 fell 4.3 percent for the week, its steepest weekly decline this year, and closed below 1,300 for the first time in four months.

The hotly awaited market debut of Facebook on Friday was marred by technology glitches on the Nasdaq in sending messages back to the brokerages that handled orders of Facebook Inc for individual, or “retail,” investors. Those problems rekindled fears about the market’s electronic trading system and caused some investors to stay away from equities.

Weighing on sentiment is a growing sense among investors that the euro zone debt crisis is nearing new heights, fueled by fears of the potential for a Greek euro exit and the deteriorating health of the Spanish banking system [ID:nL6E8EMCL2]

Solid corporate earnings and upbeat U.S. economic indicators had fueled the rally in U.S. stocks, offsetting jitters over Europe. But with earnings almost out of the way and data starting to disappoint, investors have shifted their focus back to headlines out of Europe.

Leaders of the Group of 8 major industrial economies meet this weekend to try to tackle the financial crisis in Europe. U.S. President Barack Obama, the G8 host, has urged European leaders repeatedly to do more to stimulate growth, fearing contagion from the euro crisis that could hurt the U.S. economy and his chances of re-election in November.

“The market is extremely oversold. Nonetheless, all major indicators remain on sell signals,” said Larry McMillan, president of options research firm McMillan Analysis Corp, in a report on Friday.

“We expect a powerful but short-lived rally should be coming soon. But at this point, barring some major shifts in our indicators, it may only be a rally in a larger down-trending market,” McMillian said.

THE FACEBOOK EFFECT

Facebook, the No. 1 online social network, disappointed investors with a tepid market debut on Friday. Shares rose a scant 0.6 percent – nowhere near expectations for double-digit gains on the first trading day – and the day was marred by technical problems due to huge order volume. The stock closed at $38.23 after falling as low as $38, its initial offer price.

The disappointing debut curbed investors’ appetite for other social media stocks. Hardest hit was Zynga Inc , which closed down 13.4 percent to $7.16 after falling as low as $6.40. The stock was temporarily halted twice due to sudden declines.

LinkedIn shares fell 5.7 percent to $99.02, and Groupon fell 6.7 percent to $11.58. Zynga and Groupon, both of which went public late last year, are also trading below their IPO prices.

Despite the disappointing market debut and the weak performance of social media stocks, market participants are still optimistic about Facebook going forward.

“In any brand new area, social media in this case, most are going to be losers and only some are going to be winners. Yes, the IPO was disappointing, but Facebook is clearly the winner here and others aren’t,” said Randy Warren, chief investment strategist at Warren Financial Service.

Next week’s economic data includes April’s existing home sales on Tuesday at 10 a.m. Existing home sales are forecast at a 4.60 million-unit annual, up from 4.48 million in March.

New homes sales figures are due on Wednesday at 10 a.m. April’s new home sales are also expected to post an increase, gaining about 7,000 units over a 328,000-unit annual rate in March.

Initial jobless claims and durable goods orders will be published on Thursday at 8:30 a.m. Consumer sentiment is due at 9:55 a.m. on Friday.

For the week, the Dow is off 3.5 percent and the Nasdaq is down 5.3 percent.

DOUMA, Syria — Surrounded by ancient olive groves, Douma is just ten miles from Damascus but it feels like another world.?It is a city under occupation.?

In Damascus,?vehicles slow to a halt due to traffic jams. In Douma, there is no traffic. Only a few empty cars are parked on the roadside.?


Shoppers crowd the capital’s sidewalks and restaurants do a brisk business. But in neighboring Douma, sidewalks are empty and most of the shops are shuttered with corrugated metal sheets or padlocked steel doors.?

A few people walk quickly down the empty streets on what must be only the most necessary of errands. They stare straight ahead or look down as they walk.?

Except for the noise of our three-vehicle convoy speeding through town, there is silence.?

ITV’s Bill Neely reports from both sides of the frontlines in Syria. ?Each side accuses the other of the same crimes and neither is willing to stop fighting.

On Tuesday, we drove behind two vans of United Nations observers on a mission to Douma and Harasta to monitor the cease-fire.?

Both cities have been bastions of resistance against the regime where residents stage flash demonstrations even after months of brutal crackdowns.?

However, there isn’t much of a cease-fire left to monitor. Syria is wracked by mounting violence and the U.N. teams have been caught up in two explosions and a shooting.?

Opposition activists said the Syrian security forces have even opened fire on a funeral procession, killing at least 21 people. NBC’s Ayman Mohyeldin reports.

So it’s no surprise they speed down the streets and get out of their vans only twice in violence-prone Douma.

Some residents seem worried that the U.N. presence will spur attacks. A man standing with his little daughter and son pulls the girl inside and yanks his unwilling and crying son behind the metal door of his house as we pass. He slams the door shut.

Our driver points out snipers in the tall building in front of us.?

Every few blocks we pass through military checkpoints, with armed troops behind sand-bagged barricades.

Little interaction
Led by a Moroccan, the U.N. monitors stop briefly at checkpoints to ask Syrian security if there has been any violence. A U.N. ‘blue cap’ shakes hands with a tiny child in a car stopped at a checkpoint. Otherwise, we do not see the U.N. interact with or talk to civilians.

They get out of their vans at a main checkpoint and the team leader waves us away as he goes to talk with a plainclothes officer in private. As we wait, police, soldiers and plainclothes security look nervously around.?

Fifty-five people were killed and 372 were wounded when two cars exploded in Damascus, Syria earlier on Thursday. NBC’s Richard Engel reports.

A soldier explains why they are on edge. “They shoot at us from here and there,” he says as he points to neighboring buildings.

He claims the opposition still manages to evade the tight security cordon to spirit in weapons and ammunition. But the military shoots back.?

According to activists, a civilian was killed in Douma the day we visited and YouTube video which NBC News cannot verify later showed snipers shooting randomly at the city’s streets.??????

We cross into Harasta, a much livelier town. It is market day. A few shoppers check out vegetables heaped on trays.?

We jostle for position with other cars. Some stores are open and a few shoppers buy bread from a functioning bakery.

Oddly, the town is still silent. There is no chatter or laughter as people go about their business.?

It is as if the city is on mute.?

We pass back through the tense quiet of Douma on our way to the main highway to Damascus.?

We are rejoined by a car full of Syrian intelligence and three carloads of journalists from pro-regime Syrian TV and Al Dunya TV who accompanied us to Douma. They had elected to wait outside the city, unwilling to risk the anger of local residents.?

Our visit, however fleeting, revealed a part of Syria normally seen only in grainy activist video.

mydlink App (for Android)

D-Link’s mydlink app (free) is companion software for D-Link devices enabled with the mydlink cloud service, such as the D-Link DIR-605L Cloud Router. The cloud service allows for remote management of mydlink-enabled routers and IP cameras, along with the app, from an iOS or Android device?I tested on Android. Remote network management via smartphone is a great idea and is the direction home and small business networking is headed. Cisco Linksys is poised to introduce its line of mobile apps for home networks this summer.

Unfortunately, being the first major consumer networking vendor to market with an app for managing routers and home networks means that D-Links sets the barometer for how this type of app should work.? While there are some cool things you can do with the mydlink app (like kick users off your router from anywhere) it’s apparent there’s still some work required to develop the mydlink app into finely-honed software.

Availability
There are two versions of the mydlink app: free and $0.99, called mydlink+. The for-pay version, mydlink+, gives users the additional ability of seeing live video feeds of up to four mydlink-enabled IP cameras on an iPad according to D-Link representatives.

The download and install of the 2.54MB file (via Google Play) on my Droid 2 was quick and easy.

You have to configure the mydink service on the router side within the router’s interface? besides installing the app. Within the DIR-605L’s interface there is an area called “Mydlink Event Management.” This is where you enable settings in the service such as real-time browsing history, and “push” events like notice of online user logging, notice of firmware upgrade, notice of wireless intrusion, and event triggering.

As soon as I opened the mydlink app I saw my test DIR-605L router listed in the interface represented by a router icon.

The Interface
Tap on the icon and the main menu screen displays. At the top of the screen are two icons that look as though they are measuring download and upload speeds of the network. I was confused at first because the download speed registered in the Kbps, when my test network’s bandwidth is at least 5 Mbps down. D-Link reps explained that the meter is a traffic meter measuring bandwidth used by wireless devices on my network and not Internet bandwidth. That clarifies the Kbps reading, but for a home user of the app, it may be unclear what those numbers represent and not much information is given in the app’s interface.

Further down the screen is “Connection List.” It shows how many devices are connected to your router. I saw two devices connected; my Android phone and a laptop.? Tapping on a device brings up the option to either view that device’s visited Internet history or to block the device from connecting to the wireless network, and thusly, the Internet.
Both features would be useful, yet only one worked in my testing. Viewing history was fine; however, clicking on a machine to block access did not drop the device from my network or prevent me from web browsing from that device.

You can have notifications sent to an email address whenever a new device is connected. I enabled this feature and then connected an iPad to the network. As soon as I connected the device, I had an email notification in my Inbox that the device had logged on to my network.

Within the app, I didn’t see the connected device. I had to log out and re-login before I saw the iPad I just connected. Unfortunately, when I was trying to log back in I received a number of connection timeout error messages before I could finally log back in.

Remote Reboot and Other Issues
The app lets you do a few other things, like remotely reboot the router, which is actually quite handy if you get a call from home, or perhaps from a customer whose router you are managing and want to troubleshoot.

The app allows you to enable remote management of the router with a Web browser, but you can’t perform any additional remote management from inside the app other than the capabilities already described. You can also remotely shut Wi-Fi off from the app. Use this feature with caution because you can’t get back into the router via the app when the router stops broadcasting. You have to physically connect to the router, go into the interface and re-enable Wi-Fi to use the app again, at least I did. The app should offer a caution before the setting is applied about the loss of connectivity.?

I encountered a couple of “Bad server response” errors when logging back into the app, and it crashed on me once or twice.

Right Direction But Needs Work
The app is useful but it lacks polish. The interface could offer more explanation, indicating, for example, what the traffic meter is giving stats on. Furthermore, there’s latency between the time a new device connects to the network and when you see it in the app unless you log out and back into the app. Finally, the blocking option just did not work for me.

Still, managing a home network from a mobile device is a hot feature that other networking vendors will be adding this year. Of course, you could always manage routers through port forwarding and other advanced techniques. However, vendors are making managing a whole home network, easier, and more user-friendly through the cloud from mobile devices.

Mydlink app gets three stars for being one of the first on-board with an app that does have its uses, but that still has some wrinkles that need ironing out.
